THE FOREGOING PROVISIONS STATE OUR ENTIRE LIABILITY AND OBLIGATIONS, AND YOUR EXCLUSIVE REMEDY, WITH RESPECT TO ANY ALLEGED INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS BY THE SERVICES, OR ANY PART THEREOF.
8.2 By You. You will defend us, our affiliates, and their respective officers, directors and employees against any and all claims, demands, actions, proceedings and suits of any third party (a) alleging that Your Data infringes any United States patent, copyright, or other intellectual property right of a third party, (b) arising or resulting from your use of the Services, your breach of this Agreement, or your failure to comply with laws, rules and regulations applicable to you and your business (collectively, “Claims Against Us”), and, with respect to such Claims Against Us, you will pay defense costs (including reasonable attorneys’ fees and other litigation expenses), Customer-negotiated settlement amounts, and court-awarded damages.

The Defended Party may, however, participate in the defense or settlement of such Claim at its own expense and with its own choice of counsel.
